1. Acceptance of Terms

By accessing or using MyWayV — including the mobile application, web platform, and any related services (collectively, the "Service") — you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not use MyWayV.

These Terms constitute a legally binding agreement between you and Mywayv Holding Inc. ("Mywayv Holding Inc.," "we," "our," or "us"). If you are using MyWayV on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Eligibility

To use MyWayV, you must:

Be at least 18 years of age to enter into a paid subscription, or have parental or guardian consent
Have the legal capacity to enter into a binding contract in your jurisdiction
Not be prohibited from using MyWayV under applicable law

By using MyWayV, you represent and warrant that you meet all eligibility requirements.

3. Account Registration

To access most features of MyWayV, you must create an account. When registering, you agree to:

Provide accurate, current, and complete information
Maintain and promptly update your account information
Keep your password confidential and not share it with any third party
Notify us immediately at Support@Mywayv.com if you suspect unauthorized access to your account
Accept responsibility for all activity that occurs under your account

Mywayv Holding Inc. reserves the right to suspend or terminate accounts that contain false information or that have been inactive for an extended period.

4. Subscriptions & Billing

4.1 Plans MyWayV offers free and paid subscription plans. Features available under each plan are described on our app, which we may update from time to time.

4.2 Billing Cycle Paid subscriptions are billed in advance on a monthly or annual basis, depending on the plan you select. Your subscription automatically renews at the end of each billing period unless you cancel before the renewal date.

4.3 Payment All payments are processed securely by the app store. By providing payment information, you authorize Mywayv Holding Inc. to charge your payment method for all applicable fees. You are responsible for ensuring your payment information remains accurate and up to date.

4.4 Price Changes We may change subscription prices at any time. We will provide at least 30 days' notice of any price increase via email and in-app notification. Continued use of MyWayV after the effective date of a price change constitutes your acceptance of the new price.

4.5 Refunds All fees are non-refundable except as required by applicable law or as explicitly stated in our Refund Policy. If you cancel mid-cycle, you retain access until the end of the current billing period.

4.6 Taxes Prices displayed do not include applicable taxes. You are responsible for all taxes associated with your use of MyWayV, except for taxes based on Mywayv Holding Inc.'s income.

5. Free Trial

We may offer free trials of paid plans from time to time. At the end of a free trial, your account will automatically convert to the selected paid plan unless you cancel before the trial ends. We will remind you before your trial expires.

6. Acceptable Use

You agree to use MyWayV only for lawful purposes and in accordance with these Terms. You must not use MyWayV to:

Violate any applicable local, national, or international law or regulation
Transmit any content that is unlawful, harmful, defamatory, obscene, or invasive of another's privacy
Impersonate any person or entity or misrepresent your affiliation with any person or entity
Upload or transmit viruses, malware, or any other malicious code
Attempt to gain unauthorized access to any part of MyWayV or its related systems
Scrape, crawl, or extract data from MyWayV without our express written permission
Use MyWayV to send unsolicited communications (spam) to other users or third parties
Interfere with or disrupt the integrity or performance of MyWayV
Reverse engineer, decompile, or disassemble any part of MyWayV
Use MyWayV to build a competing product or service
Resell or sublicense access to MyWayV without our prior written consent

We reserve the right to investigate and take appropriate action against violations of this section, including suspending or terminating your account without notice.

7. User Content

7.1 Ownership You retain full ownership of all content, data, and materials you upload, create, or store within MyWayV ("User Content"). These Terms do not transfer any ownership rights to Mywayv Holding Inc.

7.2 License to Mywayv Holding Inc. By uploading User Content, you grant Mywayv Holding Inc. a limited, non-exclusive, royalty-free, worldwide license to host, store, process, and display your User Content solely as necessary to provide MyWayV to you. We do not use your content for any other purpose.

7.3 Your Responsibility You are solely responsible for your User Content. You represent and warrant that:

You own or have the necessary rights to upload and use the content
Your content does not infringe any third-party intellectual property, privacy, or other rights
Your content complies with these Terms and all applicable laws

7.4 Content Removal We reserve the right to remove User Content that violates these Terms, without prior notice.

8. Intellectual Property

All rights, title, and interest in and to MyWayV — including the software, design, text, graphics, logos, trademarks, and other content created by Mywayv Holding Inc. — are and remain the exclusive property of Mywayv Holding Inc. and its licensors.

You are granted a limited, non-exclusive, non-transferable, revocable license to use MyWayV for its intended purpose in accordance with these Terms. Nothing in these Terms transfers any intellectual property rights to you.

You must not copy, modify, distribute, sell, or create derivative works based on MyWayV or any part of it without our express written permission.

9. Third-Party Services & Integrations

MyWayV may integrate with or contain links to third-party services, tools, or websites. These integrations are provided for your convenience. Mywayv Holding Inc. does not control and is not responsible for the content, privacy practices, or terms of any third-party service.

Your use of third-party services is governed by their respective terms and privacy policies. We encourage you to review them before use.

10. Availability & Downtime

We strive to maintain high availability of MyWayV but do not guarantee uninterrupted access. MyWayV may be temporarily unavailable due to:

Scheduled maintenance (we will provide advance notice where possible)
Unplanned outages or technical failures
Events beyond our reasonable control (see Section 16 — Force Majeure)

We will make reasonable efforts to restore access promptly. Mywayv Holding Inc. is not liable for any loss or damage resulting from MyWayV being unavailable.

11. Confidentiality

If you receive any non-public information about Mywayv Holding Inc.'s technology, business, or plans in the course of using MyWayV (for example, through a beta program or partnership), you agree to keep it confidential and not disclose it to any third party without our prior written consent.

12. Disclaimers

MYWAYV IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

MYWAYV HOLDING INC. DOES NOT WARRANT THAT MYWAYV WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

YOUR USE OF MYWAYV IS AT YOUR SOLE RISK.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MYWAYV HOLDING INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE MYWAYV.

IN NO EVENT SHALL MYWAYV HOLDING INC.'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO MYWAYV HOLDING INC. IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY. IN SUCH CASES, THE ABOVE LIMITATIONS APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.

14. Indemnification

You agree to indemnify, defend, and hold harmless Mywayv Holding Inc. and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

Your use of MyWayV
Your User Content
Your violation of these Terms
Your violation of any applicable law or third-party rights

15. Termination

15.1 By You You may cancel your account at any time through your account settings or by contacting Support@Mywayv.com . Cancellation takes effect at the end of your current billing period.

15.2 By Mywayv Holding Inc. We may suspend or terminate your account at any time, with or without notice, if we believe you have violated these Terms, engaged in fraudulent activity, or for any other reason at our sole discretion. We may also discontinue MyWayV entirely with 30 days' notice.

15.3 Effect of Termination Upon termination, your right to use MyWayV ceases immediately. We will provide you with a reasonable opportunity to export your User Content before account deletion, unless termination was due to a violation of these Terms. Sections 7, 8, 12, 13, and 14 survive termination.

16. Force Majeure

Mywayv Holding Inc. shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, acts of government, war, terrorism, labor disputes, internet outages, or failures of third-party infrastructure.

17. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute arising from or related to these Terms or MyWayV shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in accordance with the American Arbitration Association (AAA) rules. The arbitration shall take place in Delaware, and the language shall be English.

You waive any right to participate in a class action lawsuit or class-wide arbitration against Mywayv Holding Inc.

Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction.

18. Changes to These Terms

When we make material changes, we will:

Post the updated Terms on this page with a new "Last Updated" date

Your continued use of MyWayV after the effective date of any change constitutes your acceptance of the updated Terms. If you do not agree, you must stop using MyWayV and cancel your account before the effective date.

19. Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy and any other policies incorporated by reference, constitute the entire agreement between you and Mywayv Holding Inc. regarding MyWayV.

Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.

Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. Mywayv Holding Inc. may assign its rights freely.

No Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights.

Headings: Section headings are for convenience only and have no legal effect.
