  1. ACCEPTANCE OF TERMS

Welcome to MyWayv.

These Terms and Conditions ("Terms") govern your access to and use of the MyWayv website, mobile applications, content, services, software, features, and related technologies (collectively, the "Services").

The Services are provided by MyWayv Holding, Inc., a Delaware corporation ("MyWayv," "Company," "we," "our," or "us").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not access or use the Services.

If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

  1. IMPORTANT WELLNESS DISCLAIMER

MyWayv is a wellness platform designed to support personal wellbeing, self-reflection, music experiences, storytelling experiences, and general wellness activities.

MyWayv is not a medical device, healthcare provider, therapy service, crisis intervention service, mental health treatment provider, or emergency response service.

Nothing contained within the Services is intended to diagnose, treat, cure, prevent, monitor, or manage any disease, medical condition, or mental health condition.

The Services do not constitute medical advice, psychological advice, psychiatric treatment, clinical care, legal advice, financial advice, or any other professional advice.

You should consult qualified professionals regarding any medical, mental health, legal, financial, or other professional matters.

Music recommendations, stories, reflections, conversational content, wellness insights, and other content generated or delivered through the Services are intended solely for personal wellness, self-reflection, educational, informational, and entertainment purposes.

Such content is not medical advice, psychological advice, psychiatric treatment, therapy, diagnosis, or any form of healthcare service and should not be relied upon as a substitute for professional care or professional judgment.

  1. NO EMERGENCY SERVICES

MyWayv is not designed for emergency use.

The Services do not monitor users for emergencies and are not capable of contacting emergency responders.

If you believe you are experiencing a medical emergency, mental health crisis, suicidal thoughts, or may be a danger to yourself or others, contact emergency services, a crisis hotline, or a qualified healthcare professional immediately.

  1. ELIGIBILITY

To use the Services you must:

• Be at least 18 years of age.

• Have the legal capacity to enter into a binding agreement.

• Not be prohibited from using the Services under applicable law.

By using the Services, you represent and warrant that you satisfy these requirements.

  1. ACCOUNT REGISTRATION

Certain features require an account.

You agree to:

• Provide accurate and complete information.

• Maintain current account information.

• Protect your account credentials.

• Notify us promptly of unauthorized account activity.

• Accept responsibility for activity occurring under your account.

We reserve the right to suspend or terminate accounts containing inaccurate information or violating these Terms.

  1. SUBSCRIPTIONS, BILLING, AND APP STORE PURCHASES

MyWayv may offer free and paid subscription plans.

Subscriptions purchased through the Apple App Store or Google Play Store are governed by the applicable store's billing, cancellation, and refund policies.

Subscriptions automatically renew unless cancelled before the renewal date.

We may change subscription pricing upon reasonable notice.

Where required by law, users will receive advance notice before material pricing changes become effective.

  1. FREE TRIALS

MyWayv may offer free trials or promotional access periods.

At the end of a trial period, access may convert to a paid subscription unless cancelled before renewal.

We reserve the right to modify or discontinue trial offers at any time.

  1. ACCEPTABLE USE

You agree not to:

• Violate any law or regulation.

• Upload unlawful, harmful, threatening, abusive, defamatory, fraudulent, or infringing content.

• Impersonate another person or entity.

• Attempt unauthorized access to systems or accounts.

• Introduce malware or malicious code.

• Scrape, harvest, copy, or extract data from the Services.

• Reverse engineer, decompile, or disassemble any portion of the Services.

• Interfere with the operation of the Services.

• Use the Services to build a competing product.

• Resell, sublicense, or commercially exploit the Services without authorization.

We may investigate and respond to violations, including suspension or termination of accounts.

  1. USER CONTENT

You retain ownership of content you submit, create, upload, or store through the Services ("User Content").

You grant MyWayv a limited, worldwide, non-exclusive, royalty-free license to host, process, store, display, transmit, and use User Content solely as necessary to provide and improve the Services.

You represent and warrant that:

• You own or control the rights necessary to submit User Content.

• User Content does not violate applicable law.

• User Content does not infringe the rights of any third party.

We may remove content that violates these Terms.

  1. AI GENERATED CONTENT

Certain features of the Services utilize artificial intelligence technologies.

Content generated through the Services may include:

• Conversations

• Recommendations

• Music selections

• Stories

• Wellness insights

• Summaries

• Personalized content

Artificial intelligence systems may occasionally generate inaccurate, incomplete, inappropriate, or unexpected results.

Music recommendations, stories, reflections, wellness insights, and conversational content provided through the Services are generated or selected using automated technologies and artificial intelligence systems.

Such content is intended solely for wellness, informational, educational, self-reflection, and entertainment purposes.

Users should independently evaluate all content generated through the Services and should not rely on such content as a substitute for professional medical, mental health, legal, financial, or other professional advice.

MyWayv makes no representation or warranty regarding the accuracy, completeness, suitability, effectiveness, or appropriateness of any AI-generated content for any particular user or circumstance.

You acknowledge that AI-generated content should not be relied upon as a substitute for professional advice, diagnosis, treatment, or decision-making.

You remain solely responsible for evaluating and acting upon any content generated by the Services.

  1. VOICE FEATURES

Certain features may allow users to interact with the Services using voice.

Voice recordings may be temporarily processed to provide requested functionality.

Voice recordings are not retained by MyWayv after processing is completed.

By using voice-enabled features, you consent to such processing.

  1. WEARABLES AND THIRD-PARTY WELLNESS INTEGRATIONS

The Services may integrate with wearable devices and third-party wellness platforms.

Data obtained from such integrations is provided by third parties.

MyWayv does not guarantee the accuracy, completeness, availability, or reliability of data provided by wearable devices or third-party services.

Your use of third-party integrations is subject to the terms and policies of those providers.

  1. THIRD-PARTY AI AND TECHNOLOGY PROVIDERS

Certain functionality is powered by third-party service providers, including artificial intelligence, speech recognition, speech synthesis, cloud infrastructure, analytics, and payment processing providers.

Examples may include OpenAI, ElevenLabs, Amazon Web Services, and similar providers.

MyWayv is not responsible for outages, interruptions, inaccuracies, delays, or changes in functionality caused by third-party providers.

  1. BETA AND EXPERIMENTAL FEATURES

From time to time, MyWayv may offer beta, preview, experimental, or early-access features.

Such features may contain bugs, interruptions, inaccuracies, or limitations.

Beta features are provided on an "as-is" basis and may be modified, suspended, or discontinued at any time without notice.

  1. INTELLECTUAL PROPERTY

The Services, including software, algorithms, workflows, prompts, designs, trademarks, logos, content, and technology, are owned by MyWayv or its licensors and are protected by applicable intellectual property laws.

You receive a limited, non-exclusive, non-transferable, revocable license to use the Services in accordance with these Terms.

Nothing in these Terms transfers ownership of MyWayv intellectual property to you.

  1. GENERATED CONTENT RIGHTS

To the extent permitted by law, content generated for you through the Services may be used by you for your personal, non-commercial use.

MyWayv retains ownership of the underlying software, technology, algorithms, prompts, workflows, systems, models, and intellectual property used to generate such content.

  1. AVAILABILITY OF SERVICES

We strive to provide reliable Services but do not guarantee uninterrupted availability.

Services may be interrupted due to:

• Maintenance

• Technical failures

• Security incidents

• Third-party outages

• Events beyond our reasonable control

We are not responsible for losses resulting from service interruptions.

  1. CONFIDENTIALITY

If you receive non-public information regarding MyWayv, including beta features, technology, business plans, or confidential materials, you agree not to disclose such information without written authorization.

  1. DISCLAIMERS

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MYWAYV DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, OR RELIABILITY.

WE DO NOT GUARANTEE THAT THE SERVICES WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.

  1. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MYWAYV SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.

MYWAYV'S TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF:

(A) THE AMOUNT PAID BY YOU TO MYWAYV DURING THE TWELVE MONTHS PRECEDING THE CLAIM; OR

(B) ONE HUNDRED U.S. DOLLARS ($100).

CERTAIN JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY. IN SUCH CASES, LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

  1. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless MyWayv, its affiliates, officers, directors, employees, contractors, licensors, and agents from claims, damages, liabilities, costs, and expenses arising from:

• Your use of the Services.

• Your User Content.

• Your violation of these Terms.

• Your violation of any law or third-party rights.

  1. TERMINATION

You may terminate your account at any time.

We may suspend or terminate accounts for:

• Violations of these Terms.

• Fraudulent activity.

• Security concerns.

• Legal requirements.

• Other legitimate business reasons.

Upon termination, your right to access the Services ceases immediately.

  1. FORCE MAJEURE

MyWayv shall not be liable for delays or failures resulting from events beyond its reasonable control, including natural disasters, war, terrorism, labor disputes, internet failures, governmental actions, or failures of third-party infrastructure.

  1. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

The parties agree to attempt good-faith resolution of disputes before initiating formal proceedings.

Except where prohibited by law, disputes shall be resolved through binding arbitration administered by the American Arbitration Association.

You waive any right to participate in class actions or class-wide arbitration.

Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction.

  1. APP STORE TERMS

If you access the Services through an Apple device, you acknowledge that these Terms are between you and MyWayv and not with Apple Inc.

Apple is not responsible for the Services or their content.

Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce these Terms against you.

  1. CHANGES TO THESE TERMS

We may modify these Terms from time to time.

When material changes are made, we will update the "Last Updated" date and may provide additional notice.

Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

  1. MISCELLANEOUS

These Terms, together with the Privacy Policy and any policies incorporated by reference, constitute the entire agreement between you and MyWayv.

If any provision is held unenforceable, the remaining provisions shall remain in effect.

Failure to enforce a provision shall not constitute a waiver.

You may not assign your rights under these Terms without our written consent.

MyWayv may assign these Terms without restriction.
