MYWAYV BETA PROGRAM - PARTICIPANT INTRODUCTION
Thank you for your willingness to participate in the MyWayv beta wellness program. We appreciate your time, openness, and feedback as an early participant in helping us evaluate and improve the MyWayv platform.
MyWayv is a wellness and resilience support platform designed to support general wellbeing, self-reflection, and user experience through conversational features, personalized content, music, narrative experiences, surveys, and related wellness tools. The beta program is intended to help MyWayv better understand participant experience, engagement, usability, and general wellness-related feedback over the course of the evaluation period.
Your participation is entirely voluntary. If you choose to participate, you will be asked to use the MyWayv platform during the evaluation period and, as part of the evaluation plan, to complete short surveys or questionnaires and provide feedback regarding your experience with the platform. Based on the current evaluation plan, participation is expected to include approximately 30 days of platform use and completion of short check-ins at the beginning, midpoint, and end of the beta period. We may also invite you to share additional comments or feedback to help us improve the platform.
Please note that MyWayv is a wellness product only. It is not a medical device, healthcare service, therapy platform, or mental health treatment program, and it is not intended to diagnose, treat, cure, prevent, or monitor any medical or mental health condition.

If you agree to participate, you will be asked to confirm your agreement to the applicable terms and notices before beginning use of the platform.

MYWAYV BETA TERMS OF USE
Welcome to MyWayv Holding Inc. ("MyWayv", "Company", "we", "our", or "us") and our beta-stage wellness and resilience support platform (the "Platform"). These Terms of Use (the "Terms") govern your access to and use of the Platform, including any website, mobile application, conversational interface, surveys, questionnaires, audio features, content, reports, and related services made available by MyWayv in connection with a beta, pilot, evaluation, or similar program.
The Platform is designed to support general wellbeing, resilience, self-reflection, and user experience through conversational features, personalized content, music, narrative experiences, surveys, and related wellness tools. The Platform may also include artificial intelligence ("AI"), machine learning, automated analysis, personalization tools, and similar technologies, whether developed by MyWayv or provided by third-party service providers. Certain features of the Platform may also interoperate with or enable connections to third-party services, applications, devices, or wearable technologies.

MyWayv does not provide medical advice, diagnosis, treatment, therapy, or clinical services. The Platform is not intended to diagnose, treat, cure, prevent, or monitor any disease, medical condition, or mental health condition. No content, output, communication, or suggestion provided through the Platform should be relied upon as a substitute for professional medical, psychological, psychiatric, therapeutic, legal, or other professional advice.

The Platform is provided in beta or pilot form for testing, evaluation, user feedback, product development, and related purposes. Features may be incomplete, experimental, modified, interrupted, suspended, or discontinued at any time. The Platform may contain bugs, errors, inaccuracies, security vulnerabilities, or other issues. Your use of the Platform is intended to support an agreed beta evaluation plan, and we appreciate your good-faith participation and feedback as we evaluate and improve the Platform for current and future users.
If you were introduced to the Platform by a nonprofit organization, community group, educational institution, workplace, volunteer framework, membership organization, or similar affiliated body (each, an "Institution"), such Institution is facilitating awareness of the Platform only, unless expressly stated otherwise by MyWayv in writing. Your participation is directly with MyWayv. The Institution is not the provider of the Platform and is not responsible for the Platform, your use of it, or any results arising from your participation.
By clicking "I Agree," creating an account, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to these Terms. If you do not agree to these Terms, please do not access or use the Platform.
1. General
These Terms set forth the terms that apply between MyWayv and any person who accesses or uses the Platform or any information, content, feature, or service made available through it.
You may use the Platform only if you are at least 18 years old and legally able to enter into these Terms.
Your participation in the Platform remains voluntary, and you may stop using the Platform or discontinue participation at any time. If you elect to participate in an agreed evaluation plan, however, you acknowledge that certain activities, surveys, questionnaires, or feedback steps may be requested as part of that plan during the beta period. Any discontinuation remains subject to any instructions contained in the applicable Privacy Policy, consent materials, or participant notices regarding information already collected or already de-identified, anonymized, aggregated, or otherwise processed.
If you were introduced to the Platform through an Institution, your participation is not a condition of employment, volunteer service, membership, eligibility, receipt of services, or receipt of benefits.
We may update these Terms or make changes to the operation of the Platform from time to time, in our discretion. Any updated Terms will be made available through the Platform or by other appropriate means. Your continued use of the Platform after such update becomes effective constitutes your acceptance of the updated Terms.
The Platform is intended only for use in jurisdictions in which MyWayv makes the Platform available. MyWayv makes no representation that the Platform is appropriate, lawful, or available for use in every jurisdiction, or that the Platform complies with laws applicable outside the jurisdictions in which MyWayv expressly offers it. You are responsible for ensuring that your access to and use of the Platform is lawful in your jurisdiction.
2. Registration, User Information, and Security
As a condition of using the Platform, you may be required to register, create an account, and provide certain information. You agree to provide accurate, complete, and current information and to keep such information updated.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. If you believe that your account has been accessed without authorization or that your credentials have been compromised, you must notify us promptly.
There is no legal obligation to provide information to us. However, if you choose not to provide information that is necessary for use of certain features of the Platform, those features may not function properly or may be unavailable to you.
3. Nature of the Platform; AI Features
The Platform may incorporate AI, machine learning, algorithmic analysis, automated messaging, pattern recognition, speech or text analysis, personalization tools, and similar technologies ("AI Features"). Your interactions with the Platform may be generated, processed, supported, reviewed, summarized, classified, or responded to by AI Features rather than by human personnel. Certain communications, prompts, outputs, playlists, summaries, categorizations, suggestions, or other Platform functionality may be produced in whole or in part by automated means.
AI Features are inherently probabilistic and may produce content, outputs, or results that are incomplete, inaccurate, misleading, unsuitable, delayed, unexpected, or inappropriate for your circumstances. AI Features may fail to understand or correctly interpret context, emotional nuance, urgency, sarcasm, idiom, cultural meaning, or user intent.
Accordingly, you acknowledge and agree that: (a) AI-generated or AI-assisted outputs may contain errors or omissions; (b) such outputs are not statements of fact, guarantees, or professional advice; (c) the Platform may not correctly interpret your needs, intentions, emotional state, or circumstances; and (d) MyWayv does not represent, warrant, or guarantee that any AI Feature or any output generated or supported by an AI Feature will be accurate, complete, reliable, safe, available, suitable, or fit for your particular needs or circumstances.
You should not rely on any AI-generated or AI-assisted output as a substitute for independent judgment or professional advice.
MyWayv may use third-party vendors, subprocessors, cloud providers, analytics providers, AI service providers, and other technology partners in connection with the operation, support, maintenance, improvement, or delivery of the Platform, subject to applicable law and our Privacy Policy.
MyWayv may make available features that interoperate with third-party services, applications, devices, or wearable technologies. Any such third-party service or device may be subject to separate terms, conditions, and privacy policies of the applicable third party. MyWayv does not control and is not responsible for the availability, accuracy, functionality, security, or performance of any third-party service, device, or wearable technology, or for any act or omission of any third-party provider.
If you access the Platform through a mobile application, your use of the application may also be subject to the terms, conditions, and policies of the applicable app store or mobile operating system provider. MyWayv is solely responsible for the Platform and not the applicable app store provider, and nothing in these Terms is intended to modify any non-waivable rights you may have under the terms of such provider.
4. Voluntary Participation; Participant Experience
The Platform is provided for beta evaluation purposes. You understand that your use of the Platform helps MyWayv test, assess, and improve the Platform. If you elect to participate in an agreed evaluation plan, you may be asked to complete certain surveys, questionnaires, or feedback forms during the beta period as part of that plan, and MyWayv appreciates your timely participation in those activities.
Your individual experience with the Platform may vary. MyWayv makes no promise, guarantee, or representation that use of the Platform will produce any specific emotional, wellness, resilience, behavioral, or other result or improvement.
5. Privacy
Your use of the Platform is also subject to the MyWayv Privacy Policy, available through the Platform or otherwise made available to you, as may be updated from time to time. The Privacy Policy describes the information we collect, how we use it, how we store it, with whom we may share it, and your choices and rights regarding your information.
Additional participant consent, privacy notices, or disclosures may also be presented to you in connection with the Platform, and such materials shall apply as described therein.
6. Communications
By registering for or using the Platform, you agree that MyWayv may send you administrative and operational communications relating to your account, participation, surveys, reminders, support, service updates, security notices, and beta-related notices by email, in-app message, SMS, or other contact method you provide, subject to applicable law.
You may also be given separate opportunities to consent to optional promotional or marketing communications, where applicable. Consent to receive marketing communications is not required in order to use the Platform.
7. Use of the Platform
Subject to these Terms, MyWayv grants you a limited, personal, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Platform solely for your own personal, non-commercial beta evaluation and participation purposes.
You shall not misuse, copy, modify, create derivative works of, reverse engineer, adapt, emulate, translate, compile, decompile, disassemble, scrape, data mine, or otherwise attempt to discover the source code, models, prompts, workflows, underlying logic, or other internal components of the Platform, except to the extent expressly permitted by applicable law.
You shall not use the Platform: (a) for any unlawful, harmful, fraudulent, deceptive, or abusive purpose; (b) in any manner that infringes the rights of another person; (c) in any manner intended to damage, disrupt, test, benchmark, extract, replicate, or compete with the functionality or operation of the Platform; (d) to impersonate another person or misrepresent your identity or affiliation; (e) to upload, transmit, or otherwise make available any virus, malware, spyware, or other harmful code; (f) to copy, reproduce, distribute, disclose, publish, display, or share Platform content except as expressly permitted by these Terms; or (g) in violation of these Terms or applicable law.
You may not share your account or login credentials with any other person, permit any other person to access or use the Platform through your account, or use the Platform on behalf of or for the benefit of any third party, except as expressly authorized by MyWayv in writing.
Any use of the Platform contrary to the foregoing may constitute a material breach of these Terms and may result in suspension or termination of your access to the Platform.
8. Participant Content; Feedback
You may choose to submit responses, comments, suggestions, survey answers, reactions, prompts, text, audio, or other materials through the Platform ("Participant Content"). As between you and MyWayv, you retain any rights you may have in your Participant Content, subject to the rights granted in these Terms and the Privacy Policy.
By submitting Participant Content, you grant MyWayv a worldwide, non-exclusive, royalty-free, fully paid-up, transferable, sublicensable, irrevocable license to host, store, reproduce, use, process, transmit, display, analyze, adapt, modify, create derivative works from, and otherwise utilize such Participant Content as necessary or useful to operate, administer, evaluate, maintain, support, improve, develop, test, validate, personalize, secure, monitor, and provide the Platform and related products, services, business operations, research, reporting, and product development activities, in each case subject to applicable law and the Privacy Policy. To the extent any Participant Content incorporates, is based on, or relates specifically to the Platform, its features, functionality, content, workflows, outputs, materials, or other non-public aspects of the Platform, you acknowledge and agree that no right is granted to you to use, reproduce, distribute, disclose, publish, or share such Platform-specific content outside the Platform except as expressly authorized in writing by MyWayv.
If you provide comments, ideas, suggestions, recommendations, annotations, corrections, or other feedback regarding the Platform, together with any related improvements, enhancements, modifications, or derivative concepts arising from or based on such feedback (collectively, "Feedback"), you hereby irrevocably assign to MyWayv all right, title, and interest in and to such Feedback, including all intellectual property rights therein. To the extent any such rights do not validly vest in MyWayv by assignment, you hereby grant to MyWayv a worldwide, perpetual, irrevocable, exclusive, transferable, sublicensable, royalty-free, fully paid-up license to use, reproduce, modify, adapt, distribute, display, perform, exploit, and otherwise utilize such Feedback for any purpose, without restriction, notice, approval, or compensation to you.
All Platform content, including the Platform's text, prompts, conversational flows, audio features, reports, designs, compilations, outputs, functionality, and other materials made available by or on behalf of MyWayv through the Platform, excluding Participant Content, is owned by or licensed to MyWayv and may not be copied, reproduced, distributed, disclosed, published, or shared outside the Platform except as expressly permitted by these Terms or authorized in writing by MyWayv.
9. Intellectual Property
The Platform, its content, technology, software, algorithms, models, methodologies, workflows, documentation, designs, music personalization technology, emotional analysis techniques, graphics, reports, trademarks, service marks, and other materials made available by or on behalf of MyWayv through the Platform, excluding Participant Content, and all intellectual property rights relating thereto, are owned by or licensed to MyWayv and are protected by applicable intellectual property laws.
Except for the limited right to use the Platform expressly granted to you in these Terms, no right or license is granted to you by implication or otherwise. Nothing in these Terms shall be construed as transferring to you any ownership interest in the Platform or any related intellectual property.
10. Disclaimer; Limitation of Liability
You are solely responsible for your use of the Platform and for any decision, action, or omission based on your use of or reliance upon the Platform.
THE PLATFORM, INCLUDING ALL AI FEATURES, OUTPUTS, CONTENT, COMMUNICATIONS, AND RELATED FUNCTIONALITY, IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS FOR BETA, PILOT, AND EVALUATION PURPOSES ONLY, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
TO THE FULLEST EXTENT PERMITTED BY LAW, MYWAYV DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, SATISFACTORY QUALITY, AND ERROR-FREE OR UNINTERRUPTED OPERATION. WITHOUT LIMITING THE FOREGOING, MYWAYV DOES NOT REPRESENT, WARRANT, OR GUARANTEE THAT THE PLATFORM, ANY AI FEATURE, ANY OUTPUT, OR ANY CONTENT WILL BE ACCURATE, COMPLETE, RELIABLE, SAFE, AVAILABLE, SUITABLE, OR FIT FOR YOUR NEEDS OR CIRCUMSTANCES, OR THAT ANY DEFECTS OR ERRORS WILL BE IDENTIFIED OR CORRECTED.
Without limiting the foregoing, MyWayv shall not be liable for any claim, loss, or damage arising from or relating to: (a) any inaccuracy, incompleteness, delay, bias, misinterpretation, or unsuitability of any AI-generated or AI-assisted output; (b) any decision or action taken or not taken by you in reliance on the Platform or any output; (c) any failure of the Platform to detect, flag, escalate, or appropriately respond to any emotional, medical, mental health, or other condition or risk; or (d) any interruption, suspension, loss of access, or loss or corruption of data or content.
TO THE FULLEST EXTENT PERMITTED BY LAW, MYWAYV AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, SERVICE PROVIDERS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, LOSS OF OPPORTUNITY, LOSS OF GOODWILL, LOSS OF PROFITS, PERSONAL INJURY, EMOTIONAL DISTRESS, OR OTHER LOSSES ARISING OUT OF OR RELATING TO YOUR ACCESS TO, USE OF, RELIANCE ON, OR INABILITY TO USE THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, MYWAYV'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED US $100.
Nothing in these Terms excludes liability that cannot be excluded under applicable law.
11. Assumption of Risk
You acknowledge that use of a beta wellness platform, and particularly one that incorporates AI Features, involves known and unknown risks, including the risk that outputs, communications, categorizations, suggestions, summaries, or other functionality may be inaccurate, incomplete, delayed, unsuitable, or not aligned with your expectations or circumstances.
You voluntarily assume all risks arising from or relating to your use of the Platform and your reliance on any content, communication, or output made available through the Platform, except to the extent such assumption of risk is prohibited by applicable law.
12. Indemnity
You agree to indemnify and hold harmless MyWayv and its affiliates, officers, directors, employees, contractors, agents, licensors, service providers, and suppliers from and against claims, liabilities, damages, losses, and expenses arising out of or relating to your violation of these Terms, your misuse of the Platform, your infringement of the rights of another person, or your Participant Content.
13. Termination
MyWayv may suspend, restrict, disable, or terminate your access to the Platform at any time, with or without notice, if MyWayv believes that you have violated these Terms, if required for legal, security, operational, or compliance reasons, or if the beta or pilot program ends.
MyWayv may modify, suspend, or discontinue any content, feature, functionality, integration, or component of the Platform at any time, temporarily or permanently, with or without notice.
You may stop using the Platform at any time. If you withdraw from participation, such withdrawal will not affect actions already taken by MyWayv in reliance on your prior agreement, subject to applicable law and the Privacy Policy.
14. Governing Law
These Terms and any dispute arising out of or relating to the Platform or these Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of laws principles, except to the extent applicable law requires otherwise. Any dispute arising out of or relating to these Terms or the Platform shall be brought exclusively in the state or federal courts located in Delaware, and you and MyWayv consent to the personal jurisdiction of, and venue in, such courts, except to the extent applicable law requires otherwise.
15. Miscellaneous
These Terms constitute the entire understanding between you and MyWayv with respect to your use of the Platform and supersede prior or contemporaneous understandings relating to the same subject matter.
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.
MyWayv may assign or transfer its rights or obligations under these Terms without your consent. You may not assign or transfer your rights or obligations under these Terms without MyWayv's prior written consent.
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or of any other provision.
